Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of MaturIQ, a software service operated by Assure Axis Ltd(“Assure Axis”, “we”, “us”, or “our”).
Assure Axis Ltd is a private limited company registered in England and Wales with company number 17018646 and registered office at 66 Paul Street, London, England, EC2A 4NA.
By accessing or using MaturIQ, creating an account, selecting a plan, purchasing a subscription, or using the service on behalf of an organisation, you agree to these Terms.
If you use MaturIQ on behalf of a company, organisation, or other legal entity, you confirm that you have authority to bind that entity to these Terms. In that case, “Customer”, “you”, and “your” refer to that entity.
1. About MaturIQ
MaturIQ is a business software service that gives leadership teams a structured, evidence-based framework to assess, compare and improve AI maturity across business units, from first adoption to strategic advantage.
MaturIQ is intended for business and organisational use. It is not intended for children or personal consumer use.
2. Eligibility and account registration
To use MaturIQ, you must:
- be at least 18 years old
- use the service for a legitimate business purpose
- provide accurate and complete registration information
- keep account credentials secure
- be responsible for activity carried out through your account
You must notify us promptly if you become aware of any unauthorised use of your account or any security incident affecting your access to the service.
3. Customer organisations and authorised users
A Customer may create an organisation workspace and invite users to access MaturIQ under its account.
The Customer is responsible for:
- managing its users and permissions
- ensuring that its authorised users comply with these Terms
- all activity that takes place within its workspace
- the lawfulness, accuracy, and appropriateness of data entered into MaturIQ
We may rely on instructions, actions, and permissions given by a Customer's administrators.
4. Subscription plans and access
MaturIQ may be offered on free and paid subscription plans.
Your access to features, usage thresholds, business unit limits, seat limits, and other entitlements will depend on the plan assigned to your organisation.
We may update plan structures, features, or limits from time to time. Any material adverse change to an active paid subscription will not apply until the next renewal term unless required for legal, security, operational, or service integrity reasons.
Free plans, beta features, promotional access, and preview features may have additional restrictions and may be changed, suspended, or withdrawn at any time.
5. Free plan
We may offer a free plan with limited features, usage thresholds, seats, business units, assessments, or other restrictions.
At the time of publication, the Free plan is described as follows:
- 3 seats
- 1 business unit
- 3 assessments per period
- AI Maturity Assessment framework
- Basic dashboard
Unless we state otherwise:
- the free plan is provided for an indefinite period at no charge
- free plan limits, features, and availability may be changed at any time
- we may suspend or withdraw the free plan, or move features out of the free plan, at any time
- we may restrict, suspend, or terminate free plan access where we detect abuse, fraud, misuse, duplicate account creation designed to bypass limits, or use that creates security, legal, or operational risk
If a free plan is withdrawn, changed, or upgraded to a paid subscription, we will aim to give reasonable notice where practical.
6. Paid subscriptions
Paid subscriptions provide access to additional features, higher limits, or other entitlements depending on the selected plan.
Details of the applicable paid plan, including pricing, billing frequency, included usage, and renewal basis, will be shown at the time of purchase or in the relevant order summary.
Use of paid features is subject to payment being successfully collected and kept up to date.
7. Orders, billing, and payment
Paid subscriptions to MaturIQ are processed through Paddle, which acts as merchant of record for transactions, including payment processing, invoicing, applicable tax handling, renewals, and certain billing operations.
By purchasing a paid subscription, you also agree that the transaction may be subject to Paddle's applicable buyer and checkout terms.
We will make clear, before purchase, the main commercial terms of your subscription, including:
- billing frequency
- subscription fee
- included limits, if applicable
- renewal basis
- cancellation method
Unless otherwise stated:
- subscriptions renew automatically for the same billing period
- fees are payable in advance
- all fees are non-cancellable during the current billing period except where required by law or expressly stated in these Terms
- you are responsible for providing accurate billing and account information
If payment cannot be collected or is declined, we may suspend, restrict, or terminate access to paid features after any grace period we choose to apply.
8. Renewals and cancellation
You may cancel your subscription at any time through the billing method or account controls made available to you.
Unless we expressly state otherwise at checkout or in your order summary:
- cancellation prevents the next renewal charge
- cancellation does not normally entitle you to a refund for the current billing period
- access to paid features continues until the end of the current paid term, unless access is suspended earlier for breach, fraud, or non-payment
If your subscription expires, is cancelled, or is terminated for non-payment, your account may be downgraded, suspended, or scheduled for deletion in line with your plan rules and our Privacy Policy.
9. Refunds
We want to be fair, but MaturIQ is a business software service and fees are generally non-refundable once a paid subscription period has started, except where:
- required by law
- expressly stated in a written offer or plan description
- we choose to provide a refund or service credit at our discretion
Refunds, where applicable, may be processed through Paddle and may be subject to Paddle's payment and transaction procedures.
Nothing in these Terms excludes any refund or remedy that cannot lawfully be excluded.
10. Promotional trials or offers
We may from time to time offer optional promotional trials, temporary access to paid features, or other limited commercial offers. Any such offer will be subject to the specific terms presented at the time of the offer.
11. Acceptable use
You must not, and must not allow others to:
- use MaturIQ unlawfully or fraudulently
- interfere with, disrupt, or damage the service or its infrastructure
- attempt to gain unauthorised access to accounts, systems, or data
- reverse engineer, decompile, copy, frame, mirror, or resell the service except where permitted by law or expressly authorised by us
- use MaturIQ to store, transmit, or publish malicious code
- upload or submit content that is unlawful, infringing, defamatory, abusive, discriminatory, or otherwise objectionable
- use the service in a way that could impair availability or security for other customers
- misuse free plans, invite flows, promotional access, or account creation processes
We may suspend or restrict access if we reasonably believe there has been a breach of this section.
12. Customer data
As between you and us, you retain responsibility for the data, materials, and content you submit to MaturIQ (“Customer Data”).
You grant us a limited right to host, process, transmit, store, back up, and otherwise use Customer Data only as needed to:
- provide and secure MaturIQ
- maintain and support the service
- prevent fraud and abuse
- comply with legal obligations
- enforce these Terms
You confirm that you have all rights and permissions needed to submit Customer Data to MaturIQ and to allow us to process it for these purposes.
13. Data protection and privacy
Our handling of personal data is described in our Privacy Policy.
Where we process personal data on behalf of a Customer in providing MaturIQ, the Customer is responsible for ensuring it has an appropriate lawful basis and any required notices, permissions, or internal authorisations for its use of the service.
14. Service availability, support, and changes
We will use reasonable care and skill to provide MaturIQ, but we do not guarantee that the service will be uninterrupted, error-free, or available at all times.
We may:
- maintain, update, modify, or improve the service
- change features, interfaces, or technical requirements
- suspend access for maintenance, security, or operational reasons
- introduce or remove features, including beta or preview features
Unless we expressly agree otherwise in writing, MaturIQ is provided on a standard service basis only and does not include bespoke development, guaranteed response times, or a service level agreement.
Support is provided through the contact methods we make available from time to time.
15. Beta features
We may offer beta, preview, early access, or experimental features.
These features may be incomplete, unstable, or changed without notice, and are provided on an “as available” basis. We may suspend or withdraw them at any time.
Use of beta features is at your own risk.
16. Intellectual property
We and our licensors own all intellectual property rights in and to MaturIQ, including the software, methodology, interface design, branding, documentation, and underlying materials, except for Customer Data.
These Terms do not transfer any ownership rights to you.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use MaturIQ for your internal business purposes.
17. Confidentiality
Each party may receive confidential information from the other in connection with MaturIQ.
Each party agrees to:
- keep the other party's confidential information confidential
- use it only as needed to perform or receive the service
- disclose it only to personnel, contractors, or advisers who need to know and are bound by confidentiality obligations
This section does not apply to information that:
- is or becomes public through no breach
- was already lawfully known
- is lawfully received from a third party without restriction
- is independently developed without use of the other party's confidential information
18. Warranties and disclaimers
We warrant that we will provide MaturIQ with reasonable care and skill.
Except as expressly stated in these Terms, and to the maximum extent permitted by law, MaturIQ is provided “as is” and “as available”.
In particular, we do not warrant that:
- MaturIQ will be uninterrupted or error-free
- results, scores, benchmarks, recommendations, or outputs will meet your needs
- the service is suitable for any specific regulatory, legal, or commercial purpose
- any particular outcome, maturity level, value realisation, or business benefit will be achieved
MaturIQ is designed to support structured assessment, benchmarking, and decision-making. Customer outputs, scores, recommendations, and insights are generated from information submitted to the service and configured assessment logic, and may be incomplete, indicative, or affected by input quality, configuration choices, or service limitations.
You remain responsible for reviewing outputs and for all business, legal, regulatory, financial, operational, and management decisions made in reliance on the service.
MaturIQ does not constitute legal, regulatory, audit, tax, investment, employment, or other professional advice.
19. Limitation of liability
Nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence
- fraud or fraudulent misrepresentation
- any other liability that cannot lawfully be excluded or limited
Subject to the paragraph above, and to the maximum extent permitted by law:
- we are not liable for any indirect, incidental, special, punitive, or consequential loss
- we are not liable for loss of profit, revenue, anticipated savings, goodwill, reputation, business opportunity, or data, except to the extent such loss cannot lawfully be excluded
- our total aggregate liability arising out of or in connection with MaturIQ and these Terms shall not exceed the total fees paid by the Customer for MaturIQ in the 12 months immediately before the event giving rise to the claim
If you use a free plan, beta feature, or other no-fee access, our total aggregate liability for that access shall not exceed £100.
20. Suspension and termination
We may suspend or terminate access to MaturIQ immediately if:
- you materially breach these Terms
- payment is overdue
- we reasonably suspect fraud, abuse, unlawful conduct, or security risk
- continued access would expose us, the service, or other users to harm or legal risk
You may stop using MaturIQ at any time. Termination or expiry does not affect accrued rights, payment obligations already due, or any provisions intended to survive termination.
21. Effect of termination
On termination or expiry:
- your right to use MaturIQ ends
- we may suspend or remove access to Customer Data after any retention or export period we choose to offer
- we may retain limited data where required for legal, tax, accounting, fraud prevention, security, backup, or dispute-resolution purposes
You are responsible for exporting any data you need before the end of the applicable access period.
22. Publicity
We may identify your organisation by name as a customer of MaturIQ in our website customer lists and general marketing materials unless you ask us in writing not to do so.
We may not use your logo, trade marks, testimonial, case study, endorsement, or issue any press release about your use of MaturIQ without your prior written consent.
23. Changes to these Terms
We may update these Terms from time to time.
If we make a material change, we will post the updated version on our website and update the effective date. Where appropriate, we may also notify account administrators through the service or by email.
Your continued use of MaturIQ after the updated Terms take effect constitutes acceptance of the revised Terms.
24. Third-party services
MaturIQ may integrate with or depend on third-party services. We are not responsible for third-party services that we do not control, including their availability, performance, or security, except to the extent required by law.
25. Entire agreement
These Terms, together with any order details, plan description, acceptable use rules, and our Privacy Policy, form the entire agreement between you and us in relation to MaturIQ, unless we expressly agree otherwise in writing.
26. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation shall be governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction, except where mandatory law requires otherwise.
